In this section you find the Offer Memorandum in which Mexichem and Wavin confirm the recommended public cash offer by Mexichem for all issued and outstanding ordinary shares of Wavin at an offer price of € 10.50 for each ordinary Wavin share. On February 8th 2012 Mexichem and Wavin jointly announced that they intended to create the global leader in the plastic pipe systems and solutions industry after having reached an agreement on the combination of their activities. We would like to take the opportunity to elaborate on the compelling strategic rationale for the offer, give more background on the offer process and provide you with necessary details.
The offer values 100% of the issued and outstanding Wavin shares at approximately € 531 million. The offer price of € 10.50 in cash for each Wavin ordinary share represents a significant premium of 177% over the closing price of 18 November 2011. More details on the specific Premia and the enterprise value versus the reported and prospective EBITDA of Wavin can be found under item 6.5.2.
The acceptance period commences at 09:00 hours CET on 12 March 2012 and will end at 17:30 hours CET on 7 May 2012, bar from a possible extension of the offer period. Mexichem will convene an Extraordinary General Meeting of Shareholders at 22 March 2012 to discuss the Offer, while Wavin will discuss the offer at the Annual General Meeting of Shareholders at 25 April 2012.
The Board of Directors of Mexichem and both Boards of Wavin support and recommend the Offer. Mexichem will finance the Offer with cash on its balance sheet and on the basis of existing committed credit facilities. Mexichem has already confirmed in a press release dated February 14, 2012 that it has the necessary financing in place.
Attractive opportunity
The Offer provides Shareholders with an attractive opportunity to realise a premium value for their shares along with certainty of cash. Against the backdrop of a weakening European economy, Mexichem believes that its all-cash Offer provides Shareholders with an immediate superior return. Mexichem and Wavin believe that the Offer represents a compelling proposition that extends the current successful partnership and cooperation between the two companies. The combination is an important step for both companies, as Mexichem and Wavin together will create the global leader in plastic pipe systems and solutions, with around € 4.0 billion in annual sales. For Mexichem this is a logical next step in the further execution of its long term growth strategy, by obtaining a strong position in Europe with Wavin. With Mexichem it is possible for Wavin to become the European partner of a strong industry leader that wholeheartedly underwrites Wavin’s long term strategy and growth ambitions as stated in its 2015 Strategy Plan.
Highly complementary companies
Mexichem and Wavin are highly complementary with very limited geographic overlap. The combination will have stronger design, engineering and R&D capabilities and will leverage Mexichem’s low cost manufacturing platform. The new group will have a more diversified end-market profile across the residential, non-residential and infrastructure segments exposing it to different economic and construction cycles. Together Mexichem and Wavin are fully convinced to be exceptionally equipped for future growth from consolidation in the industry and expansion into new markets.
Wavin will retain a separate operating and legal structure with headquarters in Zwolle, The Netherlands. Its unique brand will be retained and the existing R&D centre in The Netherlands will continue to be the core of new innovations in the industry that will lead to improved products and services for customers and business partners.
The existing rights of employees will be respected and the current Wavin employee consultation structure will be left unchanged. There will be no reduction of the number of employees as a consequence of the transaction.
Boards
After successful completion of the Offer, the current members of Wavin's Board of Management will continue to serve on Wavin's Board of Management. In addition, Mexichem will nominate Andres Capdepón as a new member of the Management Board. The Supervisory Board will consist of six members, two of which will be independent from Mexichem and its related parties and who will have special rights to safeguard the non-financial commitments agreed upon with Mexichem.
The cash offer to acquire 100% of the outstanding ordinary shares of Wavin is considered reasonable and fair to all Shareholders as supported by the Fairness Opinions from ING, advisor to the Supervisory Board of Wavin. After the expected closing of the transaction the joint Boards of Mexichem and Wavin look forward to an exciting new future in the industry, based on the combined strong innovative and commercial capabilities.
